These Terms and Conditions ("Terms") govern enrolment and participation in any certification program, course, workshop, retreat, mentorship or other educational offering provided by ERA (each a "Program"). By enrolling, paying any deposit or instalment, or accepting these Terms at checkout, you ("Participant," "you") agree to them.
If you have signed an ERA waiver or participant agreement, it forms part of these Terms. If the two conflict, the signed agreement controls, except Section 7 (Statutory Rights).
1. Definitions
"Program Fees" means the full price of a Program stated at enrolment, including deposits, tuition and instalments, whether paid in full or over time, excluding applicable taxes.
"Program Description" means the description of a Program's sessions, materials, assessments, mentorship and support published or sent to you at enrolment.
"Program Materials" means all curriculum, manuals, templates, videos, recordings, slides, assessments and other content ERA provides, including the ERA methodology.
"Certification" means the credential awarded when you complete all Program requirements.
"Start Date" means the first scheduled session or the date you first receive access to Program Materials, whichever is earlier.
2. Enrolment
2.1 Your enrolment is complete when you have paid the required deposit or Program Fees and accepted these Terms, either by ticking the acceptance box at checkout or by signing an ERA agreement.
2.2 ERA will email you confirmation of your enrolment, including the Program, Program Fees, currency, payment schedule and a link to these Terms. Keep it for your records.
2.3 ERA may decline an enrolment before the Start Date if you do not meet stated prerequisites, the Program is full, or you have provided false information. Any refund in that case is governed by Section 5.
3. Fees, Taxes and Payment
3.1 Program Fees are stated in the currency shown at enrolment or checkout, which may be Canadian dollars (CAD), United States dollars (USD) or another currency ERA designates. The amount shown when you agree to pay is the amount you owe.
3.2 Applicable taxes, such as HST or GST, are charged in addition to Program Fees where required by law. ERA will correct any tax charged in error.
3.3 Payments are processed by third-party providers, including Stripe. Your card issuer may charge foreign transaction or currency conversion fees, which are your responsibility.
3.4 Unless ERA agrees to an instalment plan in writing, all Program Fees are due in full before the Start Date. Instalment plans are governed by Section 4.
4. No Refunds and Instalments
4.1 All Program Fees, including deposits, tuition and instalments, are final, non-refundable and non-transferable, in every currency. This applies regardless of withdrawal, non-attendance, illness, injury, dissatisfaction, scheduling conflicts, a change in personal or financial circumstances, or failure to meet Certification requirements.
4.2 An instalment plan is a payment convenience only. By enrolling, you commit to the full Program Fees. Each instalment remains owing on its due date whether or not you attend, withdraw or complete the Program. Any change ERA agrees to in an instalment schedule changes only the timing of payment, not the amount owed.
4.3 If you pay by card, you authorize ERA to charge that card for each instalment on its due date. If a charge fails, you must pay the amount within 7 days of ERA's notice.
4.4 If any instalment is unpaid when due, ERA may suspend your access to sessions, Program Materials, assessments and mentorship, will withhold Certification until all Program Fees are paid, and may pursue collection of the unpaid amount.
4.5 ERA may, at its sole discretion, correct a billing or tax error or offer a credit. Any such adjustment must be in writing, applies only to that instance, and does not waive this Section or create an obligation to make it again.
4.6 Payment processing and currency conversion fees are not refundable.
4.7 This Section is subject only to Section 5 and Section 7.
5. Cancellation by ERA
5.1 This Section sets out the only circumstances in which ERA refunds Program Fees, other than refunds required by law.
5.2 If ERA declines your enrolment before the Start Date under Section 2.3 for a reason other than false information, ERA will refund the Program Fees you paid.
5.3 If ERA cancels a Program before it begins, ERA will offer you a place in the next available cohort. If you cannot attend any date ERA offers within 12 months, ERA will refund the Program Fees you paid for the cancelled Program.
5.4 If ERA cancels a Program after it begins, ERA will, at its option, deliver the remaining sessions at a later date or online, or refund the portion of Program Fees attributable to sessions not delivered.
5.5 Rescheduling sessions, changing instructors, mentors, venues or delivery format, or moving sessions online does not entitle you to a refund or a reduction in Program Fees.
5.6 Any refund under this Section is paid in the currency in which the Program Fees were charged, to the original payment method.
6. Withdrawal by Participant
6.1 You may withdraw from a Program at any time by written notice to info@elevatereformeracademy.com.
6.2 Withdrawal ends your participation only. It does not cancel, reduce or pause any Program Fees, deposits or instalments, which remain payable in full on their scheduled due dates.
6.3 On withdrawal, you forfeit all remaining sessions, mentorship, assessments and Certification, unless ERA agrees in writing to a deferral.
6.4 You may request a one-time deferral to a future cohort, including for injury or illness. A deferral is at ERA's sole discretion, must be confirmed in writing, and does not change the Program Fees owed.
6.5 A refund request, dispute or chargeback does not suspend your obligation to pay. If you dispute a charge with your card issuer, ERA may provide these Terms, your acceptance records and your payment history to the issuer.
7. Statutory Rights
Nothing in these Terms removes any right you have under the Consumer Protection Act, 2002 (Ontario), or any other consumer protection law that applies to you and cannot be waived. Where a provision of these Terms conflicts with such a right, that right prevails only to the extent of the conflict, and the rest of these Terms continue to apply.
8. Program Delivery and Scope
8.1 ERA delivers each Program in the format set out in the Program Description, whether in person, online or hybrid.
8.2 The Program includes only the sessions, Program Materials, assessments, mentorship and support set out in the Program Description. Mentorship and support are provided at the times and through the channels ERA designates. ERA does not guarantee the availability of a particular instructor or mentor.
8.3 ERA may update curriculum, schedules, instructors, mentors, venues and materials, provided the core learning objectives of the Program are maintained. These changes do not entitle you to a refund (Section 5.5).
8.4 You are responsible for your own travel, accommodation, equipment and internet access, unless ERA agrees otherwise in writing.
9. Third-Party Studios
Programs may be hosted at third-party studios or venues. ERA is not responsible for any arrangement, payment, refund or dispute between you and a third-party studio, and has no obligation to mediate or reimburse.
10. Participant Responsibilities
10.1 You agree to attend sessions, complete assessments and required practical hours by the deadlines ERA sets, follow instructions from ERA staff and instructors, and treat other participants, staff and studio partners with respect.
10.2 You must disclose any medical condition, injury, pregnancy or limitation that may affect your safe participation in physical training. You participate at your own risk.
10.3 ERA may remove a Participant from a Program, without refund, for conduct that is abusive, unsafe, dishonest or substantially disruptive. Program Fees owing at removal remain payable.
11. Assessment, Certification and Outcomes
11.1 Certification is awarded only when you meet all published requirements, which may include attendance, practical hours, written or practical exams, and payment of all Program Fees.
11.2 You must complete all Certification requirements within 12 months of the Start Date, unless ERA extends this in writing. After that, your enrolment lapses without refund, and ERA may charge a reinstatement fee for you to complete Certification.
11.3 ERA decides in good faith, against the published standard, whether requirements have been met.
11.4 ERA does not guarantee that you will pass any assessment, obtain Certification, earn income, secure clients, employment or studio partnerships, or achieve any specific result. You are responsible for any licences, insurance or permits you need to practise.
12. Revocation of Certification
ERA may suspend or revoke Certification obtained through fraud, misrepresentation or plagiarism, or for a material breach of these Terms or ERA's code of conduct. Before revoking, ERA will give you written notice and at least 14 days to respond.
13. Program Materials and Intellectual Property
13.1 All Program Materials, including the ERA methodology, names, trademarks, logos and branding, are owned by ERA or its licensors.
13.2 Enrolment grants you a personal, non-exclusive, non-transferable, revocable licence to use Program Materials for your own learning and, once Certified, to deliver services under the ERA methodology in line with your certification terms.
13.3 You may not copy, distribute, record, publish, resell or create derivative works of Program Materials, or use them to train any artificial intelligence system, without ERA's prior written consent. You may not use ERA's name, marks or credentials in a way that suggests endorsement beyond your earned status.
14. Confidentiality
You must keep confidential any non-public information shared during a Program, including other Participants' personal information, client information and business strategies. This obligation continues after the Program ends.
15. Recording and Photography
ERA may record sessions and take photographs or video for educational, quality assurance and marketing purposes. If you object, tell ERA in writing before the Start Date and ERA will make reasonable efforts to keep you out of recordings and images, though you may appear incidentally. You may not record sessions without ERA's written consent.
16. Privacy
ERA handles personal information under its Privacy Policy (www.elevatereformeracademy.com/privacy-policy) and applicable privacy law, including the Personal Information Protection and Electronic Documents Act (PIPEDA).
17. Accessibility
ERA will make reasonable accommodations for Participants with disabilities under the Accessibility for Ontarians with Disabilities Act, 2005, and applicable human rights law. Please make requests in writing as early as possible before the Start Date.
18. Limitation of Liability
To the fullest extent permitted by law, ERA's total liability arising from a Program, in contract, tort or otherwise, is limited to the Program Fees you actually paid for that Program. ERA is not liable for indirect, incidental, consequential, special or punitive damages, including loss of income, clients or business opportunity. This Section does not limit liability that cannot be limited by law, including for gross negligence or wilful misconduct.
19. Indemnity
You agree to indemnify ERA, its directors, officers, employees, instructors and studio partners against claims, losses and reasonable legal costs arising from your breach of these Terms or your negligent or wrongful acts during a Program, except to the extent caused by ERA's negligence or wilful misconduct.
20. Force Majeure
ERA is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, government orders, power or internet outages, venue closures or labour disruptions. ERA will use reasonable efforts to reschedule or move affected sessions online. If a Program cannot be completed within a reasonable time because of such an event, Section 5.4 applies.
21. Changes to These Terms
ERA may update these Terms. Changes apply to enrolments made after the updated Terms are published. For Participants already enrolled, material changes apply only with their written consent or where required by law.
22. Governing Law and Disputes
22.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, including for Programs delivered outside Canada, subject to Section 7.
22.2 Before starting any claim, you and ERA will try in good faith to resolve the dispute by written notice and discussion for 30 days. If it remains unresolved, it will be submitted to the exclusive jurisdiction of the courts of Ontario. This does not limit any right to bring a claim in small claims court or to complain to a consumer protection agency.
23. General
23.1 These Terms, any signed ERA waiver or participant agreement, the Program Description and ERA's Privacy Policy form the entire agreement between you and ERA about the Program. You confirm you have not relied on any verbal statement, representation or promise not set out in them.
23.2 If any provision is found unenforceable, the rest remain in effect. ERA's failure to enforce a provision is not a waiver of it.
23.3 You may not assign your enrolment without ERA's written consent. ERA may assign these Terms to a successor or affiliate.
23.4 Notices must be in writing and sent to the email address on file for you, or to info@elevatereformeracademy.com for ERA.
Acceptance
You accept these Terms by ticking the acceptance box at checkout, signing an ERA waiver or participant agreement, or paying any deposit or instalment. ERA keeps a record of the date you accepted and the version of these Terms that applied.
Questions about these Terms can be sent to info@elevatereformeracademy.com.
